METROPOLITAN AIRPORTS COMMISSION ORDINANCE NO. 124 TRANSPORTATION NETWORK COMPANIES ORDDiANCE

AnOrdinancetopromote andconservepublicsafety,health,peace,convenience andwelfareandtoprovide revenuetofimdtheestablishingofandinainteiianceofgroundtransportation facilitiesatMumeapoUs- St. PaulInternationalAirport, byregulatingtheoperationofallTransportationNetworkCompaniesand Transportation Network Company Drivers operating at Mimieapolis-St. Paul International Airport, a public airportundertheoperation, directionandcontrol oftheMetropolitan Aiiports Commission.

ActiveontheTNCDigitalNetwork.ThestatusofaTNCDriverwhenoperatingwhichincludes but is not limited to: when (he TNC Driver is logged onto the TNC Digital Network showing that theTNCDriverisavailabletopickupPassengers;wheuaPassengerisinthevehicle;orwhen theTNCDriverhasaccepteda riderequestandisenroutetoprovidetransportationservicesto a Passenger.

Airport. Miimeapolis-St.PaulInternationalAirport,Wold-ChamberiainField,apublicairport underthesupervision,operation,directionandcontroloftheMetropolitanAirportsCommission, andlocatedin the CountyofHennepinandStateofMinnesota.

AirportDirector. TheCommission'sadministrativeofficerortheofBcer'sdesigneeinchargeofthe terminalareasattheAirportand,forpurposesoftheliceusmg,permittingandcontrolofTNCsand

TNCDrivers, andenforcement ofthisOrdinance,theagentoftheMetropoUtanAirports Commission.

AirportProperty. AUpropertyownedorcontrolledbyMACattheAirport.

Commission. TheMetropolitanAirportsCommission,apubliccorporationorganizedand operating pursuant to Chapter 500, Laws ofMiimesota 1943 and amendments thereto.

Compensation.Remunerationoranythingofeconomicvaluethatisprovided,promised,or donated primarily in exchange for services rendered. This includes, but is not limited to voluntary

donations,fee-sharingbetweenaTNCandaTNCDriverorPassenger,andadvertisementof TNC services.

DieitalNetwork.ADigitalNetworkmeansanyonlme-enabledapplication,software,Website,or systemofferedorutilizedbya TNCthatenablestheprearrangementofrideswithTNCDrivers.

eTripLanes. TrafGclanesdesignatedbytheAirportDirectorforusebyprearrangedtransportation providers that requires a credit card to enter and exit the traffic lanes.

Executive Director/CEO. The Commission's chiefexecutive officer or a designated representative.

HearmeOfGcer. A designeeoftheExecutiveDirector/CEOwhoshallconducthealings,hear evidenceandmakeadeterminationregardingfines,Suspensionsand/orRevocationofTNC Licenses and TNC Driver Pennits.

HoldineLot.A parkinglotofsufScientsizeandproximitytotheAirporttosupportTNC operations attheAirport.

Licensee. TheholderofaTNC LicenseissuedpursuanttothisOrdinance.

MAC. TheMetropolitanAirportsCommission.

MACRepresentative. AnyPersonauthorizedbytheAirportDirectortodirectorcooidinateTNC operationsattheAirport, including,butnotlimitedto, MAC LandsideStaffandemployeesoffhe Airport Police Department.

Operationofa TNCVehicle.Offering,makingavailable, orusinga vehicletoprovide a TransportationNetworkService,includinganytimewhena TNCDriveris loggedontothe TNCs DigitalNetworkshowingthattheTNCDriverisavailabletopickupPassengers;when a Passenger is in the vehicle; when the provider's records show that the vehicle is en route; or when theTNCDriverhasaccepteda riderequestandis enrouteto providea TransportationNetwork Service to a Passenger.

Passeneer.Anindividualbeingtransported forCompensation inanauthorizedTNCEndorsed Vehicle.

Per-TrioFee. ThefeesetbytheCommissionthatTNCsarerequiredtopaytoMACforeverytrip wheua Passengerisdropped-offorpicked-upattheAirport.

PersonalVehicle.Meansa vehiclethatisusedbya TNCDriverm connectionwithproviding a PrearrangedRideandisowned,leased,orotherwiseauthorizedforusebyfheTNCDriverandis not a taxicab, limousine, or other for-hire vehicle.

Placeofbusiness.A locationwhere(1)theCommissionmaysend,andtheLicenseeshallaccept, noticesofhearingorothernoticesfromtheCommission;and(2)a placewhererecordsrequired bythisOrdinancemaybeviewedandcopied.

PrearraneedRide.A PrearrangedRidemeanstheprovisionoftransportationbya TNCDriverto a Passenger,beginningwhena TNCDriveracceptsa riderequestedbya Passengerthrough a DigitalNetworkcontrolledbya TNC,contmuiagwhiletheTNCDrivertransportsa requesting Passenger, and ending when the last requesting Passenger departs from the TNC Endorsed Vehicle.A prearrangedridedoesnotincludetransportationprovidedusinga taxicab,limousine, or other for-hire vehicle.

PrearraneedTransportation Service. A transportation servicethat is offered andacceptedthrough a Licensees DigitalNetworkbeforethetransportationcommences.

Revocation. ThediscontinuanceofaTNCLicenseorTNCDriverPermit.

Suspension. Thetemporary discontinuance ofaTNCLicenseorTNCDriverPermit.

TNC. Transportation Network Company.

TNC Driver. A for-hire driver affiliated with andaccepting trips requested through a TNC for Compensation, whileoperatinga PersonalVehiclewitha TNCVehicleEndorsemeut. A TNC Driver is someone who has been screened and approved by a TNC.

TNC Driver Permit. An authorization from the Airport Director issued to a TNC Driver that allows

(heTNCDrivertopick-upPassengersattheAirport. SuchTNCDriverPennitmustidentifyeach Licensee that the TNC Driver is affiliated with.

TNCEndorsedVehicle.A PersonalVehicleendorsedbytheafBliatedTNCandauthorizedto provideforhireserviceswithintheirnetwork.A TNCendorsedvehiclehasbeeninspectedand approved by a TNC.

TNCLicense. AnauthorizationfromtheAirportDirectorissuedtoaTNCthatallowsTNCDrivers affiliatedwiththeTNCtopick-upordrop-ofifPassengersattheAirport.

TNCLoadineAreafsl. AnareaorareasdesignatedbytheAirportDirectorforTNCstoloadand/or unload Passengers.

TNCRepresentative. ThepersonorpersonsthataTNChasauthorizedto: 1. Fileapplications,ratesandchargesonbehalfoftheTNC;

2. ReceiveandacceptallcorrespondenceandnoticesfromMACpertainingtotheTNC,or to TNC Drivers operating within the TNC; and

3. Forwardanycorrespondence,noticesand/orlegalprocessreceivedbytheTNCand intended for a TNC Driver operating for the TNC.

TNCVehicleEndorsement.Anendorsementfora PersonalVehiclethatallowsaTNCDriverto usetheendorsedvehicletoaffiliatewithaTNCtoprovideforhiretransportation toPassengers via a Digital Network.

TNCVehicleDecal.A decalissuedbytheAirportDirectorthatmustbepermanently attachedto a TNCEndorsedVehicleinorderforthatvehicletopick-upPassengersattheAirport.

Trade Dress. The unique visual element associated with a TNC that is attached to a vehicle affiliatedwithaTNCsothepublicandpasseugerscanidentifythevehicleasbeingassociated

withthatparticularTNC.TradeDressesaremandatoryandmustbeapprovedbytheAirport Director.

TransportationNetworkCompanyCTNC1.A personorentitiesaffiliatedwithTNCDriversthat provide transportation application services via a Digital Network to connect TNC Drivers with Passengersfor thetransport ofPassengersfor Compensation andmeetingthe licensing requirements andanyotherrequirements underthisOrdinance.

  1. 1.35  Transportation Network Service. A Prearranged Transportation Service offered orprovided for Compensation using a Digital Network to connect potential Passengers with transportation network drivers. The term Transportation Network Service does not include a ridesharing arrangement as that tenn is defined in Minnesota Statutes § 169. 011 subd. 65.

  2. 1.36  WheelchairAccessibleTransoortationNetworkVehicle.A TNCEndorsedVehiclethata person in a wheelchaii may enter and exit independently or with assistance while seated in a wheelchair. A Wheelchair Accessible Transportation Network Vehicle shall safely secure and restrain the wheelchair, and shall comply with all applicable standards provided by law for wheelchair accessible vehicles including proper driver training.

SECTION2-SCOPE

This Ordinance applies to all TNCs, TNC Drivers, and Transportation Network Services engaged in transportation attheAirport.

TNCs and TNC Drivers are licensed by the Commission to serve the Airport and the traveling public. The Commission does not employ, subsidize, or guarantee the profitability or the service level ofTNCs or TNC Drivers.

SECTION3- AUTHORTTYTOOPERATE

3. 1

TNC License Required

  1. No person or company shall engage in a Transportation Network Service (including pick- upordrop-offofPassengers) attheAirportwithoutaTNCLicenseissuedpursuantto this Ordinance.

  2. Novehicleshallbeusedasa TNCEndorsedVehiclethrougha TransportationNetwork Service at the Airport except by a TNC Driver affiliated with a licensed TNC pursuant to this Ordinance. Said TNC Endorsed Vehicle shall at all times be in compliance with this OrdinancewhenitisbeingusedbyaTNCDriverActiveontheTNCDigitalNetwork, on Airport Property, or when engaged in a Prearranged Ride which began or ended on Airport Property.

TNC Driver Pemiit Required

  1. No person shall pick-up Passengers at the Aiqiort through a Transportation Network Service without a valid TNC Driver's Pennit.

  2. No TNC or Licensee shall allow a TNC Endorsed Driver to pick-up Passengers at the Airport through a Transportation Network Service without a valid TNC Driver's Permit.

3.3 TNCVehicleDecalRequired

A. No person shaU pick-up Passengers at the Airport for a Prearranged Ride through a Transportation Network Service without a valid TNC Vehicle Decal.

B. No TNC or Licensee shall allow a TKC Endorsed Vehicle to pick-up Passengers at the AirportforaPrearrangedRidethroughaTransportationNetworkServicewithoutavalid TNC Vehicle Decal.

3.4 Hieh Volume Events

TheAiiportDirectormaydeclareaHighVolumeEventattheAirport. Sucheventmay be declared when conditions exist that are likely to create a need for TNCs and TNC Drivers attheAirport thatisgreaterthancanbemetbytheexisting number ofLicensees andpemiittedTNCDrivers. DuringsuchaHighVolumeEvent,theAirportDirector mayauthorizenon-UcensedTNCsandnon-pennittedTNCDriverstooperateatthe Airportsubjecttotheterms,times,conditions,andfeesasdeterminedbytheAirport Director.

SECTION4-TNCLICENSEFEE.TERM.ANDREQUIREMENTS

4. 1

TNC License Fee and Term

  1. The annual fee for the issuance or renewal ofa TNC License shall be as is listed in

    ScheduleI.Thelicensefeeshallbepaidasapreconditiontoissuanceorrenewalofthe TNC License.

  2. Except for the initial license period, a TNC License shall be issued or renewed for a one year license tenn.

  3. A TNC License is non-transferable and non-refiindable. The fee for such TNC License shall not be pro-rated for any partial year periods.

TNC License Application

A. ApplicationfortheissuanceorrenewalofaTNCLicenseshallbemadeinwritingtothe Airport Du'ector on a form provided by the Airport Director and sigued and sworn to by the applicant or, if the applicant is a corporation, limited liability company, or partnersliip, by its authorized agent. Each application, in addition to any other information that the Airport Director may reasonably require in coimection with issuance or renewal ofa TNC License, shall contain at a minimum:

  1. If the TNC License applicant is an individual:

    1. The individual's fall name, date ofbirth, social security number, residentialandbusinessaddress,businesse-mailaddressandbusiness telephone number; and

    2. Proof that the applicant is at least eighteen (18) years of age.

  2. If the TNC License applicant is a corporation:

    a. Thecorporatename,businessaddressandtelephonenumberofthe applicant;

  1. The date and state of incorporation;

  2. Thefull names,titles, businessaddresses,e-mailaddressesandtelephone numbersofitscoiporateofGcers,andofitsauthorizedagent;

d. Evidencethatthecorporationisingoodstandingunderthelawsofthe State ofMinnesota.

3. IftheTNCLicenseapplicantisapartnership orlimitedliabilitycompany:

  1. The name, business addressor principal office addressandtelephone numberoftheapplicant;

  2. The full names, dates ofbirth, residence addresses, e-mail addresses and residence telephone numbers ofthe three (3) members who own the highestpercentageinterestsinsuchpartnershiporlimitedliability company;

  3. Thegeneralpartnerofapartnership;

  4. Themanagingmemberofalimitedliabilitycompany;

  5. The applicant's authorized agent;

  6. Anyothermemberwhoownsatwenty-five(25)percentormoreinterest therein; and

  7. Thefullname,address,e-mailaddressandtelephonenumberofaperson authorizedto receive notices issuedpursuant to this Ordinance.

4.3 Qualifications forTNCLicense

A. InordertoqualifyforaTNCLicense,whetheruponinitialapplicationorupon application for renewal ofa TNC License:

  1. AnapplicantshallbeincompliancewithallapplicableMACOrdinances,State ofMinnesotaandfederallaws;

  2. AnapplicantshallhaveaPlaceofBusinesswhererecords(physicalor electronic) requiredbythisOrdinancemaybeviewedandcopied;

  3. Withrespecttoanycorporateorlimitedliabilitycompanyapplicant,the company shall be orgamzed, registered, or qualified to do business under the lawsoftheStateofMinnesota;

  4. Theapplicant(s) shallbethetmebeneficialowner(s)oftheTNCbusinesstobe licensed. Thefulllegalnamesandaddressesofallpersonsholdingatwenty-five (25)percentorgreaterbeneficialinterestinthebusinessshallbeprovidedonthe

application,andshallhavenofelonyconvictionsinthepastfive(5)years,nor anygrossmisdemeanorormisdemeanorconvictionsinvolvingtheuseofforce, possession or sale of a controlled substance, prostitution, or indecent conduct. The Airport Director may grant an exception to this provision upon evidence that the offense is not related to the operation of a TNC;

  1. The applicant shall have the ability to provide lawful, safe, suitable and comfortableserviceandtheapplicant'sabilitytoengagequalifiedTNCDrivers and eligible TNC Endorsed Vehicles;

  2. The applicant shaU have the ability to maintain mandated msurance for the paymentofpersonalinjury,death,propertydamage,andotherclaimsassociated with the operation of a TNC; and

7. TheapplicantshallhavethefmEmcialabilitytopayalljudgmentsandawards whichmayberenderedforanycausearisingoutoftheoperationof a transportation network provider business.

B. No applicant is eligible for a TNC License if anytransportation network provider license heldbytheapplicant, orbyanyofficerordirector ofa corporate applicant orpartner of a partnershipapplicant,hasbeenpermanentlyrevokedwithinthepreviousfive(5)years,or if the applicant, or any officer or director ofa corporate applicant or partner in a partnerslrip applicant, within the five (5) years immediately preceding the date of application, hasbeeneitherconvicted, orincustody, underparole orunderanyother noncustodialsupervisionresultingfi-oma convictionina courtofanyjurisdictionforthe commissionofanyfelonyoritsequivalentunderfederalorotherjurisdictionallaw.

4.4 Investieation and Issuance ofTNC License

UponreceiptofanapplicationfortheissuanceorrenewalofaTNCLicense,theAirport Directormayinvestigatetheapphcationforcompliancewithallapplicableprovisionsof this Ordinance, including but not limited to, the applicant's compliance or ability to complywiththeTNCLicensequalificationrequirementsspecifiedinthisOrdinance.

SECTION 5 - INSURANCE AND INDEMNIFICATION

5. 1

Insurance Required

  1. Licensee must adhere to all compliance requirements by ensuring the Licensee and its TNCDriverscomplywithallapplicableinsurancerequirementsmandatedbyfederal, stateofMinnesota,workerscompensationrequirements, andlocallaws,includingan obligation to cover no-fault personal injury protection (PIP) to the extent required by Minnesota law. TNC Drivers must adhereto all compliance requirements andcomply withallapplicableinsurancerequirementsmandatedbyfederal,stateofMimiesota, workerscompensationrequirements,andlocallaws,includinganobligationtocoverno- faultpersonalinjuryprotection(PIP)totheextentrequiredbyMiimesotalaw

  2. A LicenseeshallfilewiththeAirportDirectordocumentationevidencingthatthe LicenseeandtheTNCEndorsedVehiclearecompliantwithallinsurancerequirements

underMiimesotaStatute65B.472.LicenseeshallprovidetotheAirportDirectorpriorto theissueofa TNCLicense,evidencethattheinsurerislicensed,admitted,eUgible,or authorized to conduct business in the State ofMiimesota, from the authority having jurisdiction, under Minnesota Statutes 60A. 07 or 60A. 196 through 60A. 209.

C. Inaclaimscoverageinvestigation,aLicenseeshallcooperatewithaliabilityinsurerthat alsoinsurestheTNCDriver'sTNCEndorsedVehicle,includingtheprovisionofrelevant dates and times during which an incident occurred that involved the TNC Driver while the TNC Driver was Active on the TNC Digital Network.

  1. Nothinginthissectionmodifiesorabrogatesanyotherwiseapplicableinsurance requirements set forth in Mumesota Statute § 65B. 49.

  2. The certificate of automobUe liabUity insurance using the standard ACORD form prescribed in Minnesota Statute § 60A. 39 shall be disclosed on the Licensee's website, and no contractual hold harmless required in the TNC's terms of service shall be used to evade the insurance reqiiirements ofthis Ordinance.

F Licensee, through its insurer, shall provide to the Airport Director for approval prior to theissuedTNCLicense,anda cuirentcopyatalltimesduringthelicensingperiod, evidenceofsuchinsuranceusingthemostcurrentACORDformasrequiredby Minnesota Statute § 60A. 39 and endorsements.

  1. AnyTNCDrivershallprovidetoanyauthorizedlawenforcementofficerortheAirport Director, inadditiontoanyapplicable insurance, digitalorphysicalproofofthe insurance policies required by this section.

  2. Licensee shall keep in force at all times during the duration ofits TNC License, with the Airport Director, commercial general liability insurance policy or polices with an insurer licensed,admittedorauthorizedtoconductbusinessinthestateofMiimesotawithlimits ofatleast$1,000,000peroccurrenceand$2,000,000aggregate.Licenseeshallprovideto theAirportDirectorpriortotheissueofaTNCLicenseevidencefromtheauthority having jurisdiction within the state ofMumesota that the insurer is licensed, admitted or authorizedtoconductbusinessinMinnesota.IntheeventtheAiiportDirectordetermines thataneworexistingLicensee'sdeductibleistoohigh,theAirportDirectorshallnotify the Licensee and for a new Licensee not issue a License until the deductible is lowered to an acceptable amount as determined by the Airport Director; or for an existing Licensee, suspend Licensee's TNC License after 30 days if the deductible is not lowered to an acceptable amount as detemiined by the Airport Director. Licensee shall notify the Airport Director within ten (10) days of any policy cancellation or material reduction of coverage or limits to the policy or polices.

  3. IfLicenseehasemployees withintheStateofMinnesota, Licenseeshallprovidetothe Airport Director, a Certificate of Compliance Minnesota Worker's Compensation Laws requiredbyMiimesotaStatute,Section176.182andsupportingevidenceofinsurance coverage requirements under Minnesota Statute, Chapter 176.

5.2 Indemnification

A. To the fullest extent permitted by law, a Licensee by acceptance ofaTNC License, shaU agree to indemnify, defend and hold harmless the MAC and its Commissioners, officers, agentsandemployees (collectively "Indemnitees")from andagainstanyandall liabilities, losses,damages,suits,actions,claims,charges,judgments,settlements, fmesordemands fromanypersonarisingbyreasonofinjuryordeathofanyperson,ordamagetoany property, includmgallreasonablecostsforinvestigationanddefensethereof(includmg,but notlimitedto,investigativefees,attorney'sfees,courtcostsandexpertfees)ofanynature whatsoeverarisingoutoforasaresultofaLicensee'soperationsatorrelatedtothe Aiiport, ortheactsoromissionsofa Licensee'sofficers,agents,employees, contractors, subcontractors, licenseesorinvitees, regardlessofwheretheinjury, deathordamagemay occur. MAC shall give Licensee reasonable notice of any such claim or action. In indemnifyingor defendinganIndemnitee, Licenseeshalluselegal counsel reasonably acceptabletoMAC.MACatitsoption,shaflhavetherighttoselectitsowncounselorto approve joint counsel asappropriate (considering potential conflict ofinterest) andany experts forthe defense ofclaims. Licensee, attheir expense, shall provide to MAC all infomiationrecords, statements,photographs,video,orotherdocumentsreasonably necessarytodefendthepartiesonanyclaim.Thisprovisionshallsurviveexpirationor earlytemiinationoftheTNCLicense.Thefurnishingoftherequiredmsurancewithinshall not be deemed to limit Licensee's obligations under the TNC License. A Licensee's failure to procure and to keep m force the msurance required within does not limit the Licensee's obligation to mdemnify and hold the Indemnitees harmless.

SECTION 6 - TNC ENDORSED VEHICLE REQUIREMENTS

6. 1

TNC Endorsed Vehicle Ownership and Standards

A. NoLicenseeshallown,providedirectfinancingtbrtheobtaming,leasing,orownership of,orhavea beneficialinterestinTNCEndorsedVehiclesunlessapprovedbythe Airport Director.

B. Inadditiontoallotherapplicablelegalrequirements,itshallbeunlawfulforanyperson to operate or cause to be operated any TNC Endorsed Vehicle unless such TNC Endorsed Vehicle:

1. Hasamanufacturer'sratedseatingcapacityofseven(7)personsorless, including the TNC Driver;

2, Hasatleastfour(4)doorsandmeetsapplicableFederalMotorVehicleSafety Standards for vehicles of its size, type and proposed use;

  1. Isasedan,orlight-dutyvehicle.Includingaminivan,sportutilityvehicle,pickup truck, hatchbackor convertible; and

  2. At the time of annual inspection, is not more than ten (10) model years of age fromthecurrentmodelyear(asmeasured fix>mJune30ofthecalendaryear followingthemodelyear)oratthetimeoftheannualinspection, hasan odometer reading less than one himdred and fifty thousand (150, 000) miles.

C. The Licensee and the TNC Driver may bejointfy cited if the Licensee permits the TNC Driver to use a vehicle that does not meet the requirements for a TNC Endorsed Vehicle.

  1. 6.2  TNC Endorsed Vehicle Inspections

    1. Prior to using any TNC Endorsed Vehicle, and annually thereafler, a Licensee or a TNC Driver shall have the TNC Endorsed Vehicle inspected at a facility approved by fhe Airport Director, and maiatain complete documentation of such inspections in the TNC Endorsed Vehicle at all times, and a written or electronic copy of such documentation shall be provided to the Airport Director upon request. To pass such inspection, a TNC Endorsed Vehicle shall, at a minimum, be rust-free and damage-free, and shall pass an inspection ofvehicle components outlined by the Airport Director. The cost ofthe TNC EndorsedVehicleinspection istheresponsibility oftheLicenseeortheTNCDriver.

    2. The Licensee and the TNC Driver shall bejointly and severatly liable for any violation of this section if the Licensee knowingly permits the TNC Driver to use a TNC Endorsed Vehicle in violation ofthis section.

  2. 6.3  TNC Endorsed Vehicle Trade Dress

    1. TNC Endorsed Vehicle shall display, as approved by the Airport Director, a consistent and distinctive signage or emblem at all times while the TNC Driver is Active on the

      TNCDigitalNetwork.Thedistinctivesignageoremblemshallbesufficientlylargeand color contrasted:

      1. Astobereadableduringdaylighthoursatadistanceofatleastfifty(50)feet; and

      2. Reflective,illuminatedorotherwisepatentlyvisiblesoastobeseenindarkness, and to identify that a particular TOfC Endorsed Vehicle is associated with a particular Licensee.

    2. Acceptableformsofdistinctivesignageinclude,butarenotlimitedto,symbolsorsigns onvehicledoors,roofs,orgrilles.Magneticorotherremovabledistmctivesigaageis acceptable. Licensees shall fUe an illustration oftheir distinctive Trade Dress with the Airport Director.

    3. N6 commercial advertisements, or lighting not installed by the original equipment manufacturer, shallbedisplayedontheexteriorofanyTNCEndorsedVehicleunlessitis a component ofthe approved Trade Dress.

6.4 TNCVehicleDecal

No TNC or Licensee shall allow and no person shall pick-up Passengers at the Airport for a Prean-angedRideina TNCEndorsedVehiclewithouta TNCVehicleDecalissuedbytheAirport Director. The Airport Director shall issue the TNC Vehicle Decal to the TNC or TNC Driver oncetheTNCorTNCDrivercertifiesanddocumentstotheAirportDirectorthattheTNC Endorsed Vehicle meets all requirements under this Ordinance.

7. 1

TNC Driver Permit Required

NoTNCDrivershallpickupaPassengeronAirportPropertyforaPrearrangedRidewithout a validTNCDriverPennitissuedbyMAC.InordertopickupaPassengeronAirportPropertyfor a PreairangedRide,TNCDriversshallobtaina TNCDriverPemiitforeachLicenseetheyare affiliatedwith.TNCDriverPenmts shallbeissuedefiective fromthedateofissuanceuntilone(1) yearfollowing thedateofissuanceorasmodifiedbytheAirportDirector. ATNCDriverPermit issuedtoaTNCDriverremainsthepropertyoftheCommission.TheTNCDrivershallsurrender the TNC Driver Permit upon demand to a MAC Representative.

  1. Application Process

    To obtain a TNC Driver Pennit, an applicant must complete the TNC Driver Permit application, includmgall informationrequiredontheappUcation,wliichmcludes informationrequiredunderMumesotaStatutes§ 270C.72.TheTNCDriverPermitfee describedinSection11.1(C)mustbepaidpriortooratthetimeofapplicationbyeitherthe TNC Driver or Licensee. In order to obtain an initial TNC Driver Pamit, the applicant mustappearinpersonbeforeaMACRepresentativeandpresentavaliddriver'slicense issuedbyastateorterritory oftheUnitedStatesofAmerica.

  2. RenewaVAdditional TNC Driver Permits

    A TNC Driver Permit is not valid after the expiration date. TNC Drivers can reuew flieir TNCDriverPermitthirty(30)dayspriortotheexpirationdate.Toreneworobtainan additionalTNCDriverPermitwithanadditionalLicensee,theTNCDrivermustmeetall therequirementsofthisSection7,exceptSection7.3(h),providedthattheAirportDirector may adoptprocedures that allow the identification and documentation requirements outlined above to be submitted to MAC electronically or through US Mail, rather than in person.ToreneworobtainanadditionalTNCDriverPennit,theTNCDrivermust completetheTNCDriver'sPennitapplication.TheTNCDriverPermitfeedescribedin Section11.1 (C)mustbepaidpriortooratthetimeofrenewalorapplicationbyeitherthe TNC Driver or Licensee.

National Criminal Background Check_and Drivme Record Check

TNC Driver Permit applicants must undergo a national criminal background check and driving recordcheckthrougha thirdpartybackgroundcheckcompany/provider approvedbytheAirport Directorhiredeitherthroughtheapplicant'sTNC(s)orthroughMAC.Thenationalcriminal backgroundcheckshallcoveraperiodofnolessthanthepreviousten(10)years(unlessstatelaw prescribesashorterperiod)andthedrivingrecordcheckshallcovera periodofnolessthanthe previousfive(5)yearsandmustincludeallstatesinwhichtheapplicanthasheldadriver'slicense forpreviousfive(5)years.TheAirportDirectormayadoptadditionalrequirementsforthenational criminal background check and driving record check.

IfthenationalcriminalbackgroundcheckanddrivingrecordcheckisdonethroughMAC,the applicantshallsubmitthenecessarymfonnationandfheiiinformedconsenttoMACsothatthe nationalcriminalbackgroundcheckanddrivingrecordcheckcanbeperformed. IfMAC performs

thenationalcriminalbackgroundcheckanddrivingrecordcheck,a backgroundcheckfeewiUbe assessedandmustbepaidatthetimeofapplication.ThisfeeissetforthinScheduleI oras otherwise modified by the Airport Director.

Ifthenationalcriminalbackgroundcheckanddrivingrecordcheckis donethroughtheTNC,the TNCmustcertifytoMACthatthenationalcrimmalbackgroundcheckanddrivingrecordcheck has been performed according to the criteria above, and that the applicant meets the requirements outlined in Section 7. 3 below. The TNC must keep records ofthe national criminal background checkanddrivingrecordcheckforaperiodofthree(3)yearsandshallallowsuchrecordstobe reviewed by law enforcement personnel and a MAC Rqiresentative upon request.

One(1)yearaftertheinitialdateofaTNCDriverPermitandannuallythereafter,eithertheTNCor MACshallverifythattheTNCDriverisstilleligibleforaTNCDriverPemutbyperformingthe nationalcriminalbackgroundcheckanddrivingrecordcheckasoutlinedin this section(including payingMAC anyapplicablebackgroundcheckfee).

IfaLicenseeknowinglyallowsanineligibledriveraccesstoitsDigitalNetwork,orfailsto annuallyascertaintheeligibilityofeachdriversuchLicenseeallowsaccess,theLicenseeshallbe liablefortheviolation ofthissectionandshaUalsobejointly responsible withtheineligible TNC Driver for any violation of this Oidinance by the ineligible TNC Driver.

7.3 TNC Driver Permit Requirements
A. No TNC Driver Permit shall be issued unless the person:

  1. Possessesavaliddriver'sUcenseissuedbyaStateorTerritory oftheUnited StatesofAmericaandprovidesacopyofsuchlicensetotheLicensee.

  2. Be a minimum of eighteen (18) years old.

  3. Have a demonsti'ated ability to read, write and speak the English language.

No TNC Driver Permit shall be issued unless the person:

  1. Has no felony convictions in the last five (5)years;

  2. Has no non-trafGc gross misdemeanor or misdemeanor convictions in the last three(3)yearsinvolvingtheuseorthreatofuseofforce,possessionorsaleof a controlled substance, prostitution, or indecent exposure.

  3. Hasatleasttwelve(12)monthsfi-omthedateofreleasefromimprisonmeutfor a sexcrimeorcrimeofviolence. "Sexcrime"isanyprohibitedactthathasan elementofasexualnature. "Crimeofviolence"meansanyprohibitedactthathas as an element (a) the use or threat of force or a dangerous weapon or (b) a person (i) committing substantial bodily harm to another, or (ii) committing great bodily harm to another or (iii) causing the death ofanother;

  4. Hasnoconvictionsinthelastfive(5)yearsforanyoffhefollowingoffenses involvinginjuryordeathandnoconvictionsinthelastfhree(3)yearsforanyof

thefollowingoffensesnotinvolvmginjuryordeath:Hitandrun;drivmgunderthe influence ofanalcoholic beverage orcontrolled substance; reckless orcareless driving; or failure to submit to an implied consent test;

  1. Has no convictions in the last ten (10) years for Murder (Miirn. Stat. §§ 609. 185 to 609. 195), manslaughter (§§ 609. 20 to 609. 205), criminal vehicular homicide andinjury (§ 609.21), assault I-III(§§ 609.221 to 609.223), criminal sexual conduct (§§ 609. 342 to 609. 3451), indecent exposure (§ 617. 23, subd. 2 or 3); any violation ofthe conta-olled substance law ("§ 152 et al) which is punishable by a maximum sentence of fifteen (15) years or more; as allowed under Miim. Stat. § 364. 09, or violence at intemational airports (18 U. S. Code §37). No convictionsinthelastten(10)yearsforanysimilarfelonycommittedinanother state or country;

  2. Has no active criminal felony wants or warrants issued for such person.

C. NoTNCDriverPemutshallbeissuedunlessthepersonhasa drivingrecordmeetingthe following standards:

1. Fororiginalendorsement:Nomorethanthree(3)movingviolationswithinthe lastthree(3)years,andnomorethantwo(2)movingviolationsmthelastyear.

2. For annual endorsement renewal: No more than four (4) moving violations within the last three (3) years and no more than two (2) moving violations in the last year.

  1. EverynewTNCDriverapplicantshallhaveatleastone(1)year'sdrivingexperienceas a licenseddriverintheUnitedStates,meetingthestandardsofthissubsection. Suchprior drivingexperienceshallbeverifiedbytheTNCpriortoendorsementasaTNCDriver.

  2. EverynewTNCDriverapplicantshallhavea demonstratedknowledgeofthegeography andstreetsystemoftheTwinCitiesareaandtheAirport,aswellasthelocationofmajor attractions within those areas.

  3. EverynewTNCDriverapplicantshallhavea demonstratedknowledgeoftheprovisions ofthisOrdinancerelatingtotheconductofTNCDrivers.

  4. EveiyTNCDrivershallnothaveaphysicalormentaldisabilitythatwouldpreventthe TNC Driver from safely operating a TNC Endorsed Vehicle and performing the normal duties of an endorsed TNC driver.

  5. EverynewTNCDriverapplicantshallhavesuccessfullycompletedtheTNCdriver training course approved by the Airport Director.

  6. EveryTNCDriverapplicantshallnothadataxicaborcommercialdriver'slicense suspended,revokedornon-renewedbyMAC,acity,orstatewithinthefive(5)years immediately preceding their application to be a TNC Driver.

Intoxicatme Substance Policy

All Licensees shall include on its website and mobile apphcation, a notice or m&rmation on zero-tolerance for intoxicatmg substances and the methods to report a TNC Driver whom the rider reasonably suspects was under the influence of drugs or alcohol during the ride. The website and mobile application must ideutify the means of contacting the Licensee to rqiort the zero-tolerance complaint.

TNC Driver Identification and Electromc Wavbills

  1. TNC Drivers shall have an identification profile that may be viewed electrically via the TNC Digital Network. Such identification profile shall include the TNC Driver's first name,photograph,TNCEndorsedVehiclemakeandmodel,photographoftheTNC Endorsed Vehicle, and license plate number ofthe TNC Endorsed Vehicle. The TNC Driver identification profile must be displayed electronically to a MAC Representative or Passenger upon request.

  2. TNC Drivers must be able to present an electronic waybill to any law enforcement officer or MAC Representative upon request, which such waybill shall include the TNC Driver's name, photograph, and license plate number. The electronic waybill shall include information about any active Prearranged Rides.

SECTION 8 - OPERATING REQUIREMENTS

8. 1

Operatine Requirements

A. Inadditionto allotherapplicablerequirementsprovidedbylaw,it shallbeunlawfulfor anyperson:

  1. Whoisundertheageofeighteen(18)yearstooperateaTNCEndorsedVehicle;

  2. TooperateaTNCEndorsedVehiclewhileundertheinfluenceofalcoholic beveragesorcontrolledsubstances,otherthanmedicationprescribedby a physician, provided that such prescribed medication does not warn that the user not operate machinery while taking the medication;

  3. Tooperate, orcausetobeoperated, aTNCEndorsedVehicleinanyareawhere the operation of such vehicle is prohibited by an applicable law;

  4. To operate a TNC Endorsed Vehicle at the Airport while not in possession of a valid driver's license issued by a State or Territory ofthe United States of America;

  5. Tooperate,orcausetobeoperated,a TNCEndorsedVehiclethatdoesnotmeet therequirements ofthisOrdinance;

  6. Totransport orcausetobetransported morethansix(6)passengers onanygiven ride in a TNC Endorsed Vehicle, or to exceed the designed capacity ofthe vehicle; or

7. TopickupPassengersattheAirportforaPrearrangedridewithoutavalidTNC Driver Permit and valid TNC Vehicle Decal.

  1. No TNC Driver shall pick up or discharge Passengers at the Airport in areas other than theTNCLoadingArea(s)orotherareasasapprovedbytheAirportDirector.NoTNC DrivershallpickupordischargePassengersintheeTripLanes.

  2. No person may possess anopen alcohol container while suchperson is operating or being transportedbya TNCEndorsedVehicle,exceptintheoriginalpackagewiththeseal unbroken.

  3. NoLicenseeorTNCDrivershallsolicitpotentialPassengers.TNCEndorsedVehicles mayonlybeusedtoprovidePrearrangedTransportation Service.Forpurposesofthis subsection,theterm"solicit"meansanappealbywords,signs,orgesturesforiimnediate patronageofa TNCEndorsedVehiclebya Licenseeora TNCDriveruponthepublic wayattemptingtodirectpeopletoaTNCEndorsedVehiclethatisparked,stopped, standing or moving upon the public way.

  4. No TNC Driver shall accept or respondto Passengers' or potential Passengers'requests forserviceviati'aditionalstreethail,mcludinghandgestures,signs,andverbal statements.

  5. NoTNCEndorsedVehicleshallbeunlawfullyparkedattheAirport, oronAirport Property,orstopped,permittedtostand,orparkedintheTNCLoadingAreaexceptfor the immediate loading or unloading ofpassengers or luggage in answer to a Prearranged Transportation Service.

  6. The Digital Network used by a Licensee to connect TNC Drivers and Passengers shall displayfora Passeuger:

    1. Theidentificationprofile oftheTNCDriver;

    2. A pictureordescriptionoftheTNCEndorsedVehiclethattheTNCDriveris approved to use, including the Ucense plate number ofthe TNC Endorsed Vehicle; and

    3. A methodtocontactLicensee'scustomersupporttoreportcomplaints.In addition,anyLicenseeshallmakecustomersupportiuformationdisplayedinthe Licensee's Digital Network also available on such Licensee's website.

  7. Any Licensee shall clearly disclose, on the Licensee's Digital Network and website, that theLicenseeisatransportationnetworkprovider.Additionally,thedisclosureshallstate

    thateachLicenseeisrequiredtomaintaininsurancepoliciesasspecifiedinthis Ordinance.

  8. Licenseeshallprovideproofofinsurancerequirements asdescribedinthisOrdmanceto each TNC Driver before the TNC Driver begins providing service and for as long as the TNC Driver remains available to provide service.

  1. Any Licensee shall provide Passengers an opportunity to indicate whether they require a WheelchairAccessibleTransportationNetworkVehicle.Ifa Licenseecannotprovide a Wheelchair Accessible Transportation Network Vehicle, it shall provide a referral to a licensedproviderofsuchservice.

  2. Any Licensee shall have an affirmative duty to respond to requests for service and shall beresponsiblefortheactionsofanyofitsemployees,TNCDrivers,orotherpersonthat reports to, or acts as an agent of, the Licensee, for any failure to respond to a request for service from an orderly Passenger.

  3. Any TNC Driver shall all times carry in the TNC Endorsed Vehicle proof ofthe insurance policies required in Section 5.

  4. Any terms or conditions in the agreement between the Licensee and any customer, which wouldactasawaiveroftheLicensee'sliabililytothecustomer,ortothepublic,are declaredto be contrary to public policy, null, void andunenforceable.

  5. TNC Drivers shall not:

    1. Provide false infonnation to or refuse to obey or to comply with any lawful order or direction ofthe Airport Director, MAC Representative, or any pohce ofGcer, or traffic-control officer, nor shall use profane language or otherwise interfere with such officials while in the performance oftheir duties;

    2. Take a circuitous route to a destination, or any route other than the most direct route, without the express consent ofthe Passenger;

    3. Drop a Passenger at a location other than the location requested unless prohibited bylaworbythisOrdinance,orasnecessaryforthehealthorsafetyofthedriver or passenger;

    4. Refuse to convey an orderly Passenger, including passengers with service animals;

    5. HaveinhisorherpossessionwhileoperatingaTNCattheAiiportanyfirearm, knifewithabladelengthinexcessoffour(4)inches,oranyassaultweapon,unless the TNC Driver has a permit to cany;

    6. Smoke,orhavem hisorherpossession,a lightedcigarette,cigar,orpipewlule drivinga TNCwhichis occupiedbya Passenger,unlesssuchPasseugershallhave first granted permission to do so.

    7. Leave a vehicle unattended at the Airport;

    8. Turn off or disconnect from the Digital Network when a TNC Endorsed Vehicle is on Airport Property while the TNC Driver is providing or attempting to provide TNC Services; or

9. Recirculate anywhereonAirportroadways,unlessspecifically directedbythe AirportDirector,aMACRqiresentative, orAirportPolice

0. NoLicenseeshalldisable,eliminateorotherwisepreventaccesstotheDigitalNetwork bytheAirportDirectorordesigueesforpurposesofenforcingthisOrdinance.

  1. No Licensee shall notify its TNC Drivers that a potential customer is or may be the AirportDirectorordesiguee,orinanywayotherwiseinterferewithorobstmct enforcement ofthisOrdinancebytheAirportDirector.

  2. No Licensee or TNC shall allow TNC Drivers to pick up Passengers at the Airport withoutavalidTNCDriverPermitandvalidTNCVehicleDecal.A LicenseeorTNC

    must af&rmatively block TNC Drivers who do not have a valid TNC Driver Penmt and validTNCVehicleDecalfromtheirAiiportqueuingsystemandremovetheabihtyfor theTNCDrivertoengageina PrearrangedRidethatbeginsonAirportProperty.

Service Charees and Fare Rates

Compensationfor servicemaybechargedbasedondistancetravelledand/ortimeelapsedduring service,ora flatprearrangedfare.Iftheratesvaryfromthenormallypostedrateonthewebsite andintheacplication. theDigitalNetworkmustrequirethatthePassengerpositively acknowledgeontheapplicationdeviceusedto summonstheTNCDriverthattheyagreetothe rate stmcture beingchargedforthetrip requested. Upon completion ofa Prearranged Ride, a TNC shall transmit to the rider an electronic receipt, either by electronic mail or via text message. Themessageshalldocumentthepointoforiginanddestinationoftheride,thetotal distanceand durationoftheride,thetotalfarepaidincludingthebasefareandanyadditionalcharges,andthe TNCDriver'sfirstnameanda customerservicecontactinformation.

TNC Disital Network Parameters

TheTNCDigitalNetworkshallprohibitall passengersorTNCDriversonAirportPropertyfrom engagingin a PreairangedRidethatcommencesonAirportPropertyunlesstheTNCDriverhas a TNC Driver Permit TNC Vehicle Decal and is checked into its designated digital queueing systemanddispatchedto pickupthepassenger.ThequeuingsystemshallonlyincludeTNC DriverstobedispatchedtoanAirportlocationtopickupaPassengerfora PreairangedRide.All PreairangedRidesorigmatingonAirportPropertymayonlybeacceptedwhiletheTNCDriveris checked into its designated queueing system. The TNC Digital Network shall prohibit TNC Drivers from entering the queuing system while on Airport Property unless in a Holding Lot approved by the Airport Director.

SECTION9- RECORDS,REPORTS.AUDITmG.ENFORCEMENT.ANDTRACHNG

9. 1

Records and Reports

A. EveryLicenseeshallkeepaccuratebooksandrecords(physicalorelectronic) ofaccount oftheLicensee's operations attheLicensee's PlaceofBusiness fora minimum ofthree (3)years.Suchrecordsshallbesubmittedforinspectionina formacceptabletoMAC,in no more than 30 days, upon the written request ofthe Airport Director.

B. EachLicensee shall provide the following datato Airport Director, at suchtimes andin a format and manner prescribed by the Airport Director:

  1. ThenumberandpercentageoftheLicensee'scustomersattheAirportwho requested Wheelchair Accessible Transportation Network Vehicles, andhow often the Licensee referred such customers to another service provider;

  2. Thenumberofpick-upsrequestedandacceptedbytheLicensee'sTNCDriversat theAirport; thenumberofridesthatwererequestedbutnotacceptedbythe LicenseeattheAirport;andthenumberofdrop-offsattheAirport;

  3. TheLicenseemustprovideupontherequestoftheAirportDirector,MAC Representatives, ortheirdesignees,factualinformationregardingtheLicensee's TNC Drivers and TNC Endorsed Vehicles so as to determine whether or not a

    particular TNC Driver was Active on the TNC Digital Network, or engaged with aPassengerataspecifictimeanddatewhileonAirportProperty. Such information shallbeprovidedwithintwenty-four (24)hoursoftherequestunless otherwise required by the Airport Director;

  4. EvidencethattheLicenseehascompliedwiththebackgroundcheckanddriving record check requirements, driver qualifications, all other driver requirements for allendorsedTNCDriverswhohaveaTNCDriverPermit.Thisevidenceshall

    include,butnotbelimitedto,backgroundcheckreportsissuedbythethirdparty backgroundcheckcompanyif Licenseeperformedthebackgroundanddriving record check on its TNC Driver; and

  5. EvidencethatLicenseehascompliedwithvehiclerequirements, iDsurance requirements, andallotherrequirements underthisOrdinance.

9.2 Tracking ofTNC Endorsed Vehicles

A. Priortoengaginginoperations attheAirport andatLicensee's soleexpense, Licensee shall work with Airport persomiel to develop a vehicle tracldng protocol based on a Geo- FenceestablishedbytheAirportDirectorandconsistentwiththeLicenserequirements setforthbytheAirportDirector. TheGeo-Fenceshallbecomprisedofoneormore polygons whosepoints aregeographic coordinates definedbyAirport Property. TNC EndorsedVehicletrackingshallbeestablishedasfollows:AllTNCEndorsedVehicles shallbeideutifiedelectronicallyforeachTNCtripbyauniquenumberandtheTNC license plate number. The unique number shall be linked by the Licensee to the TNC Driver in a manner that allows the Commission to audit Licensee's compliance with the TNC License tenns and this Ordinance.

B. TNCEndorsedVehicletripsshallbetrackedatvariousstagesbasedonfransactiontype describedbelow. Foreachtransactiontype.Licenseeshallelectronicallynotify("ping") MAC,inrealtimewith: TNCDriverbaseduniqueidentifier,TNCidentification,vehicle Ucense plate number, timestamp, transaction type, ride count, longitude, latitude, and otherdataasspecifiedbytheAirportDirector.TNCDriversmustmamtainanopen appUcationatalltimeswhileonAirportPropertywhiletheTNCDriverisengagingor attempting to engage in a Prearranged Ride.

C. TNCsshallelectronicallynotifyMACinrealtimewiththedatadescribedabovefor movement of its TNC Endorsed Vehicles through the Airport at such locations as prescribedbytheAirportDirectorwithincludebutisnotlimitedto:

  1. Entrance into the TNC designated queueing system;

  2. ExitoftheTKC designated queueing system;

  3. Any entrance onto Airport Property;

  4. Any exit from Airport Property;

  5. WhenaPassengerispickeduponAirportpropertyaspartofaPrearrangedRide; and

  6. WlienaPassengerisdroppedoffonAirportpropertyaspartofaPrearranged Ride.

9.3 Enforcement

Upon request, a TNC Driver shall display to law enforcement persoimel or the Airport Director, orotherpersonauthorizedtoenforcethisOrdinance, aphysicalorelectronic recordofaridein progresssufficienttoestablishthatitwasaPrearrangedTransportation Service.IfaPassenger files a complaint against a Licensee or TNC Driver with the Commission, in addition to all other powersandremediesprovidedunderthisOrdinance,theAirportDirectoror designeeshallhave the right to inspect the Licensee's records as necessary to investigate and resolve the complaint to the same extent (he Airport Director and law enforcement persoimel are permitted to inspect all otherpublicpassengervehicles. TheAirportDirectormayinspecta TNCDriveratanytime whiletheTNCDriverisonAirportPropertytoverifyfhatthedriverpossesses:avaliddriver's license,TNCdriveridentificationprofile,proofofinsurance,TNCDriverPermit(ifrequired) and TNC Vehicle Decal (if required).

SECTION10- VIOLATIONS,PENALTIES.ANDHEARDiGPROCEDURES 10.1

Violations

ThesanctionssetforthinthisSectionshallapplytoPersonscommittinganyofthe following(hereinafterreferredto as"violations"):

  1. Violations ofthis Ordinance, or any laws or regulations expressly incorporated by this Ordinance;

  2. Violations ofanyOrdinance oftheCommission forwhicha crimmal penalty may be imposed;

3. ViolationswhileonAirportPropertyofanylawoftheStateofMinnesotaorfhe United States for which a criminal penalty may be imposed.

Enforcement ofthisOrdinanceshallbedoneinauniformandnondiscrimmatory mamier.

10.2 Immediate Suspensions A. Conduct

TheAirportDirector,ordesigneemayimmediatelysuspendaTNCLicenseand/oraTNC Driver Permit for the following reasons:

  1. Failiirebya LicenseeorTNCDrivertohavevalidmsuranceasrequiredinSection 5 in fall force andeffect atanytime.

  2. FailurebyaLicenseetocomplywiththetrackingrequirementsoutlinedinSection 9.2.

  3. FailurebyaLicenseeorTNCDrivertopayinfullanyoutstandingbalanceforany fees, fines, or other monies (hat are thirty (30) days past due or fmes that are not paidwithinthetime specifiedbytheOrdinance.

  4. Violations where the failure to immediately suspend may jeopardize the health, safetyorwelfare ofthetraveling public, orMAC Represeutatives.

  1. Immediate Suspension Order

    Upon findingcausefor suchImmediate Suspension,theAirport Directoror designeeshall immediatelyissuea writtenOrderofImmediateSuspensiontotheLicenseeorTNCDriver dependingonthenatureoftheviolation. TheImmediate SuspensionOldershallstatethe groundsfortheSuspensionandinformtheLicenseeorTNCDriverthatheorshemay presentadditionalinformationtotheAirportDirector,ifheorshechoosestorequestthat theAirportDirectorvacatefhatorder.Ifsuchadditionalinformationispresentedtothe AirportDirector,theAirportDirectorshallconsidersuchinfonnationandshallpromptly af6imorvacatetheOrderofImmediate Suspension.

  2. Immediate Suspension Duration

    WheretheImmediateSuspensionisfor(hereasonsstatedinParagrapha(1),(2),or(3)the immediate suspensionshallenduponremediationofthereasonsfor(heImmediate Suspension.WheretheImmediateSuspeasionisforthereasonsstatedinParagrapha (4) above, the Immediate Suspension shall be for such time as the Airport Director or desiguee determinesthattherecontmuestobeathreattothehealth,safetyandwelfareofthepublic

    3. thelengthoftheSuspension;

    4. the date on which the Suspension shall commence;

    5. thedateoftheNoticeofSuspension;and

    TheSuspensionshallbefortheperiodstatedinScheduleII,wherespecified,orforsuch timeasisorderedbytheAirportDirectornottoexceedtwelve(12)months,oruntilthe violation no longerjeopardizes thehealth, safetyorwelfare ofthetraveling public orMAC Representatives.

  3. Removal fipmTNCDieital Network

    UponthecommencementofaSuspensionofaTNCUnverPermit,aLicenseemust affirmatively block the TNC Driver from their Airport queuing system and remove the abilityfortheTNCDrivertoengageina PrearrangedRidethatbeginsonAirport Propertyduringfhesuspensionperiod,regardlessofwhethertheSuspensionis relatedto a violation that occurred while the TNC Driver was Active on the TNC Digital Network. TheAirport Director shallgivenoticeofsucha SuspensiontoeachLicenseeinwhichthe TNC Driver is affiliated with.

10.5 Revocations
A. Conduct

TNCLicensesandTNCDriverPennitsmayberevokedwhereanyoneofthefollowing exist:

1. Aviolation(s)forwhichaviolatorhashadapreviousSuspensionwithintwelve (12) months prior to the violation.

  1. Violations for which Revocation is specified in Schedule II or Schedule HI.

  2. Violations that indicate a willful or reckless disregard for, and which has an immediateimpactonthehealth,safetyorwelfareoffhepubhcorMAC Representatives.

  1. Notice ofRevocation

    TheAirportDirectorshallhavetheauthoritytoissueaNoticeofRevocation. The Notice ofRevocation shall set forth:

    1. the nature ofthe violation(s) which is the reason for the Revocation;

    2. thedateandtimeoftheviolation(s);

    3. thelengthoftheRevocation;

    4. thedateonwhichtheRevocationshallcommence;

    5. thedateoftheNoticeofRevocation;and

    6. the right to a hearing.

    TheAirportDirectorshallreviewanyreportbroughttohis/heratteutionandmay conductadditionalinvestigationinto suchfactsasdeemednecessaiyin orderto determine whether there are grounds for issuance ofa Notice ofRevocation. A Revocationshallcommencenotearlierthanfifteeu(15)daysiiomtheissuanceofthe NoticeofRevocationor,whereahearingisrequested,thefinalactionofthe Commission sustaimng the Revocation under this Section.

  2. Duration

1. TNC Driver Pennit

AfteraTNCDriverPermithasbeenrevoked,theTNCDrivershallnotbe eligibletoapplyforanotherTNCDriverPermitforaperiodoftwo(2)years

fromthedateRevocationcoiiuneaces.Uponthecommencement of a RevocationofaTNCDriverPenmtaLicenseemustaflirmativelyblockthe

TNC Driver fix>mtheir Airport queuing system andremove the ability for the TNC Driver to eugage in a Prearraaged Ride that begins on Airport Property, regardlessofwhethertheRevocationis relatedto a violationthatoccurred while the TNC Driver was Active on fhe TNC Digital Network. The Airport DirectorshallgivenoticeofsuchaRevocation toeachLicenseeinwhichthe TNC Driver is afffliated with.

2. TNC License

Intheeventthata TNC'sLicensehasbeenrevoked,fheTNC shallnotbe eligible to apply for License from the Commission for a period oftwo (2) years from the date Revocation commences.

10.6 Hearing Procedure

A. Theprocedureshereinshallapplyto Personsreceivinga NoticeofAssessment, SuspensionorRevocation("Notice"),butshallnotapplytoanOrderforImmediate Suspension.

  1. AnyPersonreceivingaNoticeofAssessment, SuspensionorRevocationmay requestahearingbeforeaHearingOfBcer.Suchrequestmustbemadein writingandreceivedbytheAirportDirectorwithintwenty-one(21)calendar daysaftertheNoticeofAssessment, SuspensionorRevocationhasbeenissued.

  2. If the Person requests a hearing, the Hearing OfGcer shall set a time for such hearing to be held as soon aspractical. The Airport Director or designee shall notifytheLicenseeorTNCDriverofthetimeandplaceofthehearingnotless thanseveu(7) calendardaysbeforefhetime setforthehearing.

  3. The hearing shall be conducted by the Hearing Officer, shall be recorded by electrical or mechanical recorder or by a qualified reporter, and shall proceed as follows:

    1. The Airport Director shall present evidence which supports the facts constituting grounds for the Notice.

    2. The Person requesting the hearing may appear in person, may be represented by counsel, may cross-examine Airport Director's witnesses who are present, and may present any relevant evidence which the Licensee or TNC Driver has relating to the facts constituting groundsfortheNotice.Theevidenceatthehearingshallbelimitedto that which is relevant to the facts constitutmg grounds for the Notice.

    3. Alltestimony shallbetakenunderoath,butboththeAirport Director and the Person requesting the hearing may introduce testimony under oath in fhe form of sworn statements if witnesses are unavailable or

      refuse to appear in person.

i. The Hearing Officer shall hear the evidence and shall make

recommended findings concermngthe factsrelevant to the violation(s) setforfhintheNotice.TheHearingOfficershall make no determination concerning the penalty set forth in the Notice, nor shall the Hearing OfGcer make recommended findingsconcerning anysubstantive issueotherthanthefacts underlying theNotice.

  1. The Hearing Officer shall issue a report in writing stating his/her reconimended findmgs as soon as practical following the hearing.

  2. EithertheAirport Directoror thePersonrequestingthehearing mayrequestreviewoftheHearingOfficer'sreportbythe Executive Director/CEO. The review must be requested by filing with the Executive Director/CEO a written Request for Review withm ten (10) days ofthe date ofthe Hearing Officer's report. The Request for Review must state reasons for reversingorvacatingthereport. Thepartynotrequesting reviewmaysubmita writtenResponsetotheRequestfor Reviewwithinten(10)daysofthedateoftheRequestfor Review.Basedontherecoidofthehearing,fheRequestfor Review andthe Response, the ExecutiveDirector/CEO shall issuea writtenrulingthatafFmns,reversesorvacatesthe HearingOfficer'sreport. TheExecutiveDirector/CEOmay order remand to a Hearing OfGcer for a new hearing, a supplemental hearingand/orfor additional findings.

  3. Wherereview is requested, theExecutiveDirector/CEO's rulmg shallbethefinalactionoftheCoimmssion. Where review is not requested within ten (10) days as set forth in this Section,theHearingOfficer'sreportshallbethefinalactionof the Commission.

SECTION 11 - FEES AND MONTHLY REPORTEVG

11. 1

TNC License Fee and Per-Trip Fee

A. TNC License Fee and Security Deposit

EachLicenseeshallpayanonrefundable TNCLicensefee.TheTNCLicenseFeeshallbe paidin fallatthetimeofapplicationfortheTNCLicense.TheTNCLicenseFeeshallbe the amount listed in the Fee Schedule or asotherwise modified by the Airport Director. EachTNCLicenseeshallalsopaytoMACa securitydepositintheamountas determinedbytheAirportDirectorbasedontheparametersdescribedbelow,butshallbe nolowerthan$5,000.Thesecuritydepositshallbedeterminedbasedontheapproximate projectedmonthlyPer-TripFeesfortheTNCLicensee.Thesecuritydepositcaneitherbe in the form of cash or a letter of credit.

A Per-TripFeeshallbepaidbytheTNCorLicenseeeachtimea TNCEndorsedVehicle beginsorendsa PrearrangedRideonAirportProperty.ThePer-TnpFeeshallbethe amountUstedontheFeeScheduleforJanuary1, 2017throughDecember31, 2017. StartingJanuary1, 2018,andeachyearthereafter,thePer-TripFeefortheyearshallbe calculatedbymultiplyingthepreviousyear'sPer-TripFeebytheindexdescribedherein. Thisindexshallbetheaverageoftheaveragepercentagechangeoverthepreviousfive (5)calendaryears,notincludingtheimmediatepreviousyear,of(1)theConsumerPrice Index- AllUrbanConsumers,MidwestRegion,orsimilarCPIindex,and(2)MAC'S OperatingBudgetExpensesaspublishedontheMACWebsite.TheCommissionmay raise,lower,orremovethisannualadjustmentata publicmeetingandnoticeofsuch meetingsshallbeprovidedin accordancewithSection12.TheCommissionmayadjust the Per-Trip Fee pursuant to Section 11. 3.

Attheendofeachbillmgperiod,thetotalPer-TripFeesforthatperiodisduein full, and mustbereceivedbyMAC withinfifteencalendardaysaftertheeudofanybalingperiod. ThePer-TripFeesmaybepaidbyACH,wiretransfer, check,orothermethodsapproved bytheAirportDirector.ThebiBingperiodPer-TripFeepaymentshallbeaccompaniedby a fiill reportingoftheLicensee'sAirport operations forfhepaymentperiod, asprovidedin Section 11.2below.

AllamountsdueunderthisOrdinance,includingthePer-TripFee,shallbepaidinlawful moneyoftheUnitedStates,fieefromall claims, demands, setoffs, orcounterclaims ofany kind. AnyamountsdueunderthisOrdinance,notpaidwhendueshallbesubjectto a servicechargeequalto thelesseroftherateofoneandone-halfpercent(l'/2%)permonth, andthemaximumratepermittedbylaw. Acceptanceofanyservicechargeshallnot constitute awaiverofLicensee'sdefaultontheoverdueamountorpreventMACfrom exercisinganyoftheotherrightsandremediesavailabletoMAC.

C. TNC Driver Permit Fee

Theannual,nonrefimdable, feeforaTNCDriverPennitshallbesetforthmScheduleIor asotherwisemodifiedbytheAirportDirector.Thisfeemustbepaidatthetimeof applicationbyeithertheTNCDriverortheDriver'sTNC.

Billine Period Report

Withinfifteencalendardaysoftheendofanybillingperiod,LicenseeshallsubmittoMACits operationsreportforthebillingperiod(the"BillingReport"). TheBillingReportshallbeinan electronic formatapprovedbytheAirport Directorandshallincludeforeachdateofoperations and foreachtrip all datapointslistedin Section9.2(c). TheBillingReportshallalsoincludethetotal number oftrips for the reporting period.

TheCommissionhastheauthorityto adjustanyoftheteesm this SectionandintheFeeSchedule; andadvancenoticetotheallLicenseesshallbeprovidedm accordancewithSection12. The AirportDirectorhastheauthorityto establishadditionalfeesthatcoverreasonableadmmistrative costs for services provided to Licensee's or its TNC Drivers.
